1. Franchise License Requirement

You affirm that you hold a valid and current franchise license with Best Western International Inc., Choice Hotels International, Inc., Hilton Worldwide Holdings Inc., Hyatt Hotels Corporation, Intercontinental Hotels Group PLC, Marriott International Inc., Wyndham Hotels & Resorts Inc., and the hotel is in good standing under the terms of that franchise license, if applicable.

2. Authorized Use

Journies products are provided solely for use in connection with your affiliated property. Access is a to authorized personnel of the licensed property.

3. Confidentiality & Data Use Restrictions

Any data, analytics, insights, or other information generated by or obtained from the Captain and other products are proprietary to Journies AI Inc. and may only be used for the operation of your licensed property. Such information may not be:

• Reproduced, distributed, or published in any format outside your property, or
• Shared with, disclosed to, or used for the benefit of any other hotel company, management group, or competing entity.

4. Marketing & Promotional Use of Information

You acknowledge and expressly consent to Journies.ai and its authorized third-party partners:

• Collecting, storing, and processing certain personal and business contact information you provide (including name, job title, email address, phone number, mailing address, and company affiliation) and information generated through your use of Journies AI products;
• Using this information to send you marketing, promotional, and informational communications about Journies.ai products and services; and
• Sharing this information with carefully selected third parties so they may send you marketing and promotional offers for products or services that may be relevant to your business.

You understand that:

• Your consent to receive these communications is voluntary but is a condition of access to certain features of the Journies products.
• You may withdraw your consent or opt out of marketing communications at any time by following the unsubscribe instructions included in the communication or by contacting us at info@journies.ai.
• Withdrawing consent will not affect the legality of any processing carried out before your withdrawal. It will not limit Journies.ai’s right to use anonymized or aggregated data for analytics, product development, or business purposes.
• Journies.ai will process your information in accordance with its Privacy Policy, which forms part of this Agreement.

5. Compliance & Enforcement

Violation of this agreement may result in immediate suspension or termination of product access, loss of data access, and may subject you to legal remedies, including damages and injunctive relief.

6. Governing Law

This agreement shall be governed by and construed in accordance with the laws of the State of Delaware without regard to conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Sussex County, and you consent to the personal jurisdiction of those courts.

7. No Waiver

The failure of Journies to enforce any provision of this agreement shall not constitute a waiver of that provision or any other provision.

8. Amendments

Journies may modify or update this agreement from time to time. Continued use of the products after notice of changes constitutes acceptance of the revised terms.
